This Legal Disclosure supplements the Kickoff Terms of Use. By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to this Legal Disclosure and the Terms of Use.

If you do not agree, you must not access or use the Platform.

#1. Nature of Kickoff

Kickoff is a software and marketing services platform that provides technical infrastructure, promotional support, and user acquisition services to independent third-party blockchain projects.

Kickoff:

  • Does not create or issue tokens
  • Is not the issuer of any digital asset
  • Does not sell tokens
  • Does not solicit investments
  • Does not provide brokerage services
  • Is not a securities exchange
  • Is not an investment adviser
  • Is not an underwriter
  • Does not execute trades
  • Does not custody funds or digital assets

All tokens are created, issued, and managed solely by independent third-party project teams. Kickoff does not control token supply, token economics, liquidity, or trading activity.

#2. Independent Third-Party Projects

All projects listed, featured, or supported on the Platform are independent entities.

Kickoff does not:

  • Manage project operations
  • Guarantee project performance
  • Verify regulatory compliance
  • Conduct legal review of token classification
  • Represent that any token is compliant with securities laws

All representations regarding a token or project are made solely by the issuing project team. Kickoff makes no determination as to whether any token constitutes a security under applicable law.

#3. No Investment Advice or Solicitation

Nothing on the Platform constitutes:

  • Investment advice
  • Financial advice
  • Legal advice
  • Tax advice
  • Regulatory advice
  • An offer to sell securities
  • A solicitation to buy securities
  • A recommendation to purchase any digital asset

All information is provided for informational purposes only. Any interaction with digital assets is initiated solely by users at their own discretion. Kickoff does not conduct suitability reviews or assess investment appropriateness.

#4. Marketing & Promotional Services

Kickoff may provide marketing, promotional exposure, and community engagement services to projects.

Such services:

  • Do not constitute endorsement
  • Do not constitute certification
  • Do not guarantee performance
  • Do not constitute investment solicitation

Any promotional content reflects project-provided information. Kickoff does not guarantee the accuracy, completeness, or legality of project materials.

#5. Non-Custodial & Blockchain Interaction

Kickoff is a non-custodial platform. Kickoff:

  • Does not hold private keys
  • Does not access user wallets
  • Does not take custody of funds
  • Cannot reverse blockchain transactions

Users interact directly with public blockchains and smart contracts at their own risk. Blockchain transactions are irreversible.

#6. Digital Asset Risk Disclosure

Digital assets are highly speculative and volatile. Tokens may:

  • Lose value entirely
  • Have no intrinsic value
  • Have limited or no liquidity
  • Be subject to regulatory action
  • Be restricted in certain jurisdictions
  • Be impacted by technical vulnerabilities

Participation in token launches carries substantial risk. Users should not interact with digital assets using funds they cannot afford to lose.

#7. Regulatory & Jurisdictional Risks

Kickoff does not guarantee that any project complies with applicable laws. Users and projects are solely responsible for compliance with their respective jurisdictions.

#8. No Ownership or Equity Rights

Unless expressly stated by the issuing project, tokens launched through Kickoff do not represent:

  • Equity in Kickoff
  • Equity in any listed project
  • Dividends
  • Profit-sharing rights
  • Guaranteed returns

Kickoff does not issue any token representing ownership in Kickoff.

#9. Information Accuracy

Information on the Platform may be provided by third parties. Kickoff does not warrant that information is:

  • Accurate
  • Complete
  • Current
  • Reliable

Users must conduct independent due diligence.

#10. Third-Party Services

The Platform may reference or integrate with third-party services, including:

  • Wallet providers
  • Decentralized exchanges
  • Smart contracts
  • Analytics tools

Kickoff does not control third-party services and is not responsible for their actions or performance. Use of third-party services is at your own risk.

#11. Security Risks

Security audits and testing do not eliminate all risks. Smart contracts and blockchain systems may contain:

Kickoff does not guarantee the security of any project or smart contract.

#12. Tax Responsibility

Users are solely responsible for determining:

Kickoff does not provide tax advice.

#13. Usage Restrictions

You represent and warrant that:

  • You are not located in a sanctioned jurisdiction
  • You are not subject to OFAC or similar sanctions
  • Your use of the Platform is lawful
  • You are not using the Platform to violate securities laws

Kickoff reserves the right to restrict access at its discretion.

#14. No Warranties

The Platform is provided on an “as is” and “as available” basis. Kickoff disclaims all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Continuous availability
  • Error-free operation

Website functionality may be modified, suspended, or discontinued without notice.

#15. Limitation of Liability

To the maximum extent permitted by law, Kickoff and its operators shall not be liable for:

  • Loss of funds

  • Smart contract failures
  • Regulatory enforcement actions
  • Project misconduct
  • Indirect or consequential damages

Total aggregate liability shall not exceed $100 USD.

#16. No Fiduciary Relationship

Nothing herein creates:

  • A fiduciary relationship
  • An agency relationship
  • A partnership
  • A joint venture

Kickoff owes no fiduciary duties to users or projects.

#17. Arbitration & Dispute Resolution

Dispute resolution procedures, including binding arbitration and class action waiver provisions, are governed by the Kickoff Terms of Use.

#18. Changes to This Disclosure

Kickoff may update this Legal Disclosure at any time. Continued use of the Platform constitutes acceptance of any modifications.
